1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Client," "you") and hii accounting regarding your access to and use of our website, as well as any services provided (collectively, the "Services"). By accessing our website or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. **If you do not agree with all of these terms, you are expressly prohibited from using our Services and must discontinue use immediately.**
2. Client Responsibilities and Obligations
To ensure the accuracy and integrity of our Services, you agree to the following:
- Accurate Information: You are responsible for providing complete, accurate, and timely financial records, data, and any other information required for us to perform the Services. We are not liable for any penalties, interest, or damages resulting from inaccurate or incomplete information provided by you.
- Account Security: If you are provided with an account, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- Lawful Use: You agree to use our Services for lawful purposes only and in compliance with all applicable laws and regulations in Nigeria.
- Cooperation: You agree to cooperate with us in our performance of the Services and to respond to our inquiries in a timely manner.
3. Fees and Payment Terms
Our engagement is conditioned upon the timely payment of our professional fees. Specific fee structures will be outlined in your individual Engagement Letter.
- Payment Invoices: All invoices are due and payable upon receipt, unless otherwise specified in the Engagement Letter.
- Late Payments: We reserve the right to suspend Services for overdue accounts. A late fee or interest may be applied to balances not paid within the specified period.
- Third-Party Costs: You agree to reimburse us for any reasonable out-of-pocket expenses incurred on your behalf, such as filing fees or software licenses.
4. Confidentiality
We are bound by professional standards of confidentiality. We will not disclose any of your confidential information to third parties without your consent, except as required by law, professional obligations, or as described in our Privacy Policy. Our commitment to confidentiality survives the termination of our engagement.
5. Disclaimer and Limitation of Liability
Our services are performed with professional care and competence. However, our liability is limited as follows:
- "As Is" Service: Our Services are provided on an "as is" and "as available" basis. We do not warrant that our services will be uninterrupted or error-free.
- No Guarantee of Outcome: While we strive for accuracy, we cannot guarantee the outcome of any tax filings or financial strategies. The ultimate responsibility for financial decisions rests with you.
- Liability Cap: In no event shall hii accounting or its partners be liable for any indirect, consequential, or special damages. Our total liability for any claim arising out of our engagement shall not exceed the total fees paid by you for the specific Services giving rise to the claim in the preceding six (6) months.
6. Governing Law and Dispute Resolution
These Terms and your use of the Services are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Lagos, Nigeria, and the parties hereby consent to the personal jurisdiction and venue therein.
7. Termination
Either party may terminate the engagement at any time by providing written notice to the other party. Upon termination, you agree to pay for all Services rendered and expenses incurred up to the date of termination. We will assist in the orderly transfer of your records as required by professional standards.
